These Terms and Conditions govern the use of Magnasoft's (“Company”) Software ("the Software") by you and other authorized Users ("Users"). By accessing or using the Software, Users agree to comply with these terms and conditions in full. Any violation of these terms may result in disciplinary action, including but not limited to the suspension of access, termination of employment or engagement, and/or legal action. Users are encouraged to read these terms carefully to understand their rights and obligations when using the Software.

1. Confidentiality and Information Security: Users are obligated to maintain the confidentiality of all proprietary, sensitive, and confidential information, including but not limited to technical data, financial information, and business strategies. Unauthorized disclosure, misuse, or dissemination of such information is strictly prohibited, and Users must implement appropriate safeguards to ensure its protection. Users are responsible for maintaining the confidentiality of their access credentials (e.g., username, password) and any activities conducted under their accounts. Unauthorized access or misuse of the application may result in disciplinary or legal actions.

2. Usage of Company’s Intellectual Property: All inventions, discoveries, developments, or proprietary information created through the use of Company resources, are the sole property of the Company. Users must promptly notify the Company of such developments and execute any necessary documents to transfer the associated rights as required by the Company.

3. Protection of Personal and Business Information: Users are required to provide accurate and truthful information in all Company-related matters. Any misrepresentation or falsification of business or personal information will be considered a material violation of these terms. All business transactions must be accurately recorded in compliance with the Company’s internal control policies and applicable legal requirements.

4. Compliance with Policies: Users are required to comply with the Company's information security, data protection, and privacy policies. This includes ensuring the proper handling, storage, and dissemination of confidential data in accordance with legal and internal guidelines, as well as maintaining compliance with record-keeping practices.

5. Legal Action for Breach: Any breach of confidentiality or misuse of proprietary information will result in disciplinary actions, which may include legal recourse. The Company reserves the right to initiate legal proceedings against any violators and report such breaches to the relevant authorities where necessary.

6. User Access and Authorization: Access to the Software and its data is restricted to authorized personnel with the appropriate security clearance. Unauthorized access, tampering, or sharing of credentials will lead to immediate revocation of access and may result in legal or disciplinary action.

7. Data Privacy and Protection: Users must comply with all applicable data privacy laws and relevant local data protection legislation. The Software may process personal, proprietary, or sensitive information, and Users are responsible for preventing unauthorized access, loss, or misuse of such data. This Software may collect personal data, including IP addresses, usage information, and other details necessary for functionality and security purposes. By continuing, users consent to the collection, storage, and use of such data in accordance with the Privacy Policy.

8. Usage of Licensed Software and Intellectual Property: The Software and its associated intellectual property are licensed and owned by the Company. Users are prohibited from copying, distributing, or modifying the Software without prior written consent from the Company. Any unauthorized use of the Software may lead to legal proceedings.

9. Monitoring and Compliance: The Company reserves the right to monitor User activity to ensure compliance with these terms and all applicable legal and regulatory requirements. Any misuse of the Software, including attempts to bypass security measures or unauthorized modifications, may result in an investigation, suspension of access, or termination of usage rights.

10. Software Updates and Modifications: The Company may modify, update, or discontinue the Software at its sole discretion, with or without prior notice. Users are responsible for ensuring they are utilizing the latest version of the Software. Modifying, reverse-engineering, or tampering with the Software in any way is prohibited.

11. Limitation of Liability: The Company shall not be held liable for any damages, losses, or breaches of data resulting from improper or unauthorized use of the Software. Users are responsible for adhering to all security protocols, and the Company assumes no liability for external breaches, hacking attempts, or unauthorized access resulting from User negligence.

12. Termination of Access: The Company reserves the right to terminate or restrict access to the Software for any User found in violation of these terms. Termination of access may occur without prior notice, and the User may lose access to all data stored within the Software.

13. Responsibility for Third-Party Software: Where the Software integrates with third-party applications or systems, Users agree to comply with the terms and conditions set by those third-party providers. The Company shall not be held responsible for any issues, breaches, or failures resulting from the use of third-party Software.

14. Reporting Breaches and Security Issues: Users are required to report any suspected security breaches, unauthorized access, or misuse of the Software to the Company's IT or legal department immediately. Failure to report such incidents may result in disciplinary actions, including termination of employment or engagement.

15. Use of Company Resource and assets: Users are prohibited from utilizing the Software for personal activities or any business unrelated to the Company's operations. Any misuse of Company resources, including but not limited to Software, networks, or hardware, may result in disciplinary action. Users agree and acknowledge that any misuse of data or misappropriation of Company assets and confidential information will result in legal liability, including potential criminal proceedings and claims for damages payable to the Company. Users understand that they are personally responsible for any damage, theft, or loss of Company property, such as laptops, computers, or related equipment and accessories, and authorize the Company to withhold payments and claim damages from them or their immediate family members if necessary.

16. Indemnification: Users agree to indemnify and hold the Company harmless against any claims, damages, or losses arising from their misuse of the Software or breach of these terms and conditions. This indemnification extends to any legal costs and penalties incurred by the Company as a result of the User's actions.

17. General Terms:

17.1 Users acknowledge that these terms may be evaluated and amended periodically to ensure that the quality, efficiency, and productivity of their work are not compromised by the work-from-home arrangement outlined herein.

17.2 Users are strictly prohibited from capturing screenshots, videos, or audio recordings of the application’s content, functionality, or data without explicit written permission from the Company.

17.3 Sharing or distributing content from the application through any means, including screen capture or recording, is a violation of these terms.

17.4 User activities within the application may be monitored for security and compliance purposes. Any attempts to capture or record content will be considered a breach of these terms.

17.5 Engaging in prohibited activities will result in the immediate revocation of access to the application and may lead to legal consequences, including civil liability or criminal prosecution.

I HAVE READ AND UNDERSTOOD AND AM FULLY AWARE OF THE IMPLICATIONS. I UNDERTAKE TO COMPLY WITH THE PROVISIONS OF THIS DOCUMENT. I WILL CONTINUE TO FOLLOW ALL RELEVANT COMPANY POLICIES AND PROCEDURES AS APPLICABLE.
